TERMS AND CONDITIONS EXELLIOR (Public) B.V.
Application for open training: applications are booked in order of receipt. To ensure effectiveness, groups will consist of a maximum of 10 persons. Applications for open training can be done per e-mail, per telephone and/or in writing. Exellior shall send written confirmation to the client within 7 days after registration. Reservations for participation in open training are valid for 8 days after registration.
Application for internal (in-company) training:
Planning training days is done in close collaboration with the client, who will provide written confirmation 8 days after receipt of proposed dates. The client shall supply the names of the participants in writing at least 5 weeks prior to commencement of the relevant training.
Invitation to participants:
Where possible, participant invitations shall be sent to the client 4 weeks prior to commencement of training. The client shall give these invitations to the participants no later than 2 weeks prior to the first training day.
Training times: Training days are from 9:00 to 17:00.
Invoicing and payment:
The invoice amount will be increased by VAT. The total amount shall be settled one week prior to commencement of the training. In all cases, the payment conditions of Exellior b.v. apply exclusively. If the fee is not paid within the agreed period, Exellior reserves the right to terminate the agreement. All resulting costs shall be borne by the client.
Modifications:
Exellior b.v. undertakes to give the planned training on the stipulated dates. Exellior b.v. reserves the right to cancel or re-schedule an open training if fewer than 7 participants are registered. In that case the client shall be informed as quickly as possible, and no later than 14 days, prior to commencement of the training.
Exellior b.v. reserves the right to refuse participants access to the training if they miss the first or one or more training days, or if they are unprepared.
Protection of rights:
Exellior b.v. retains the rights to all intellectual property related to the learning tools provided by Exellior b.v. Participants and client are not entitled to exploit training material for commercial purposes.
Cost of cancellation for participation in open training:
- Within 6 weeks prior to commencement of the first day: 50% of the fee
- No-show: 100% of the fee
Cost of termination for participation in open training:
- Premature termination of the training: 100% of the fee
Cost of re-scheduling of participation in open training:
- Re-scheduling of participation to a later or other training is free of charge up to 6 weeks prior to commencement of the training. Within 6 weeks prior to commencement of the training, 30% of the fee will be charged.
Cost of replacing a participant of an open training:
- Replacement of a participant by another participant in a similar job, after consultation with Exellior b.v., is free of charge and is possible until no later than 1 week prior to commencement of the training. Replacement of participants during the training is not possible.
Cost of cancellation of internal training:
- Within 6 weeks prior to commencement of the first day or kick-off: 50% of the fee.
Termination of internal training during the process:
- All training days that fall within 6 weeks of the termination date will be charged. All training days that fall within the period of six weeks after termination until the end of the training contract will not be charged.
Cost of re-scheduling training days of internal training after commencement of the training:
After the agreed training dates have been confirmed by the client, any changes in date will be charged at 30% of the amended daily rate. When re-scheduling training days within 1 month, 100% of the fee will be charged.
Cost of replacing participant in internal training:
- Replacement of a participant by another participant in a similar job, after consultation with Exellior b.v., is free of charge and is possible until no later than 1 week prior to commencement of the training. Replacement of participants during the training is not possible.
The client shall ensure that all data which Exellior deems necessary or which the client reasonably understands to be necessary for the execution of the agreement shall be provided to Exellior in good time. If, prior to the execution of the assignment, the necessary information is not provided on time to Exellior, Exellior has the right to re-schedule planned training days. This is subject to the aforementioned cancellation regulations.
Liability:
Exellior b.v. shall not be held liable for any loss or damage, personal or material, arising in connection with training or coaching activities.
Complaints procedure:
Your complaint will be confidentially opened and confirmed to you within 24 hours. Your complaint will be fully dealt with within two weeks. If more time is needed for research or the like, you will be informed immediately. You will also be informed of the expected date of settlement. In case of dispute, Accountantskantoor Kostense & Partners, in Almkerk shall pass judgment. This judgment is binding for Exellior, and any consequences shall be settled immediately. Your complaint and the method of handling will be registered and kept for a period of 2 years.
